We are instructed that G, then one of about 15 Directors of the UK
Independence Party Ltd., disregarding clear, repeated counsel of the Board, associated the political party that is the principal asset of the company with Stephen Yaxley-Lennon, later described by another Director as a "highly disreputable career criminal, drug-dealer, serial jailbird and a pathological liar" and his even worse criminal associates.
A Director owes many duties to the company. G's actions, and those of
successor Director R, who tried to resurrect G and others so as to complete
the job, and established by documentation to be a conspirator, were incompatible with and in egregious breach of them.
From figures presented to me, direct and indirect damage to the company foreseeably resulting from these associations is in the range of three to five million pounds.
We are unaware of any reason in law why the company should not sue G and R. Whether or not their actions can be proven to be malicious or reckless is of secondary consideration. They are liable."
