Latino Media Network Acquisition Of Eighteen Univision Stations Filed With
    FCC

    Posted: 08 Jul 2022 02:00 PM PDT https://radioinsight.com/headlines/227505/latino-media-network-to-acquire-univision-radio-properties-in-ten-markets/

The $60 million sales of eighteen stations from TelevisaUnivision to Latino Media Network has been filed with the FCC.

The new company is structured with co-founders Stephanie Valencia and Jess Morales Rocketto owning 55.5 and 37 percent of the company respectively.
Maria Contreras-Sweet, Monica Lozano, Tom Chavez, Eva Longoria, Albert Cardenas, and Juleyka Lantguua will each hold 1% stakes and Henry Muñoz, Christy Haubagger, and Luis Ubiñas will each own 0.5% stakes.

The deal is structured to have two closings. 1280 WADO New York will be
held separately with $5 million of the purchase price held in escrow until
that separate acquisition closes later due to dredging being done by the Environmental Protection Agency around the stations tower site. If the WADO closing does not take place within 9 months of the closing of the other stations, either party has the option to pull that station from the deal.

Some form of LMA is included in the deal, but has not been included in the publicly filed documents for the acquisition.

Original Report 6/3: Latino Media Network, a new media company founded by social entrepreneurs Stephanie Valencia and Jess Morales Rocketto and
backed by several Latino luminaries has announced it will acquire TelevisaUnivisions radio properties in ten markets for $60 million.

The deal includes eighteen stations in New York, Los Angeles, Chicago,
Miami, Houston, Dallas, San Antonio, McAllen, Fresno, and Las Vegas.

To coincide with its launch, LMN also announced that they have signed a definitive agreement with TelevisaUnivision to purchase 18 radio stations
in 10 cities from coast to coast in a $60 million all cash deal. This deal
is one of the largest single acquisitions of stations by a Latino owned and operated company in history.

LMN has secured equity investments from leading Latino investors, and debt financing for the acquisition from Lakestar Finance LLC, an investment
entity affiliated with Soros Fund Management LLC.

“As Latinos drive population growth in the United States they continue to navigate the ocean of information on what is happening in the world and
their place in it. With minority media on the decline, now is the time to
be investing in more resources to create content for Latinos by Latinos. Through the unique combination of creative content and new and existing
media platforms to serve our community, we can embrace cultural pride and collectively empower Latinos,” said LMN Founder Stephanie Valencia. “I want to thank TelevisaUnivision for the great work they have done building these stations in Latino communities and entrusting us to grow them moving forward.”

“Our company, and these stations, are for our community,” said LMN Founder Jess Morales Rocketto. “We believe in the power and reach of radio and it remains a main source of media for a significant number of our community.
We hope to create relevant content for radio and other audio platforms with content that our community can trust and rely on. Latino Media Network is
going to ensure that the Latino community continues to be served with the
news and information that local communities deserve.”

“This is such an exciting day for the media landscape,” said Eva Longoria. “My mission is to tell and amplify all of our community’s stories so the world can see the joy, the power, and the heart of our community in ways
that are still all too rare. Media can make a difference and real change in
our world. I’m so proud to be a part of Latino Media Network as together we will ensure that our media includes narratives that uplift our voices.”

“Stephanie and Jess have lined up a truly impressive network of supporters and capital behind their creative vision,” said LMN Board Member Luis Ubiñas. “LMN has the financial resources to not just close the TelevisaUnivision deal, but to build on it to create a nationwide network.”

“Latino journalism is essential because it is critical that we tell our own stories and provide a platform for diverse Latino voices,” said Maria Elena Salinas. “I am proud to be involved with Stephanie and Jess on such a
unique project dedicated to informing and empowering our community and
focusing on issues that matter to them.”

“In an era of ever growing media consolidation Latino media ownership is essential,” said Monica Lozano. “It is groundbreaking for a Latina startup to raise this much capital to ensure that these local radio stations
    continue to serve their communities.”

The 18 stations in the deal are a combined set of AM and FM stations in the largest US markets, and 8 of the top 10 Latino markets, reaching 33% of
U.S. Latinos: LA, NYC, Miami, Houston, Chicago, Dallas, San Antonio,
McAllen, Fresno, and Las Vegas. These stations primarily consist of sports, entertainment and music programming.

Transition of the stations will happen following FCC approval and a one
year transition agreement between TelevisaUnivision and Latino Media
Network, which is expected to conclude in Q4 of 2023. LMN is in the process
of recruiting outstanding talent and will make an announcement about the
senior management team later this year. LMN intends to retain current TelevisaUnivision employees who work at the stations included in this acquisition.

The Return of the Lost Factor

    Posted: 08 Jul 2022 07:00 AM PDT https://radioinsight.com/blogs/230741/the-return-of-the-lost-factor/

Classic Hits radio is a different place than it was two years ago. The ’70s have been whittled down even further. Some stations are pushing into the
2000s in a way that not only obscures the difference between Classic and
Adult Hits, but between Classic Hits and Mainstream AC. KRTH (K-Earth 101)
Los Angeles is starting to play “California Love.” Streaming is threatening to usurp radio as the leader of the past, and has propelled “Running Up
That Hill” by Kate Bush back on to the charts to prove it.

But without a sync as phenomenal as “Running Up That Hill,” songs continue to move relatively slowly in and out of the public consciousness. This
week, I returned to the Lost Factor, a series of calculations that began
two years ago to determine what songs had travelled the furthest between
hit and obscurity in the time since they made Billboard’s Top 100 Hits of their respective year.

In updating our original calculations, I chose 1983 for a few reasons:

I began the Lost Factor with 1982 more than two years ago. In that time,
much of the music from the first half of the year feels more like a
    holdover from a previous era than ever;
1984 is considered the epicenter of Top 40’s ’80s heyday by many, but it is the year that was featured last weekend on syndicated reruns of American
Top 40, meaning that songs on the chart this week would have an atypical
boost. (You will see the anniversary of Michael Jackson’s death figure into this week’s calculations, although only one song appears to be
    significantly changed.)
1983 was a beloved year. It also gives me a chance to look at one song
whose fortunes you would expect to change, Musical Youth’s “Pass the Dutchie,” propelled back into prominence by Stranger Things, but not at the same level as Bush.

I wanted to include “Pass the Dutchie” because this year’s fluctuations in
spin count are actually the precursor to another column using 1983 data,
“The Lost Factor vs. Streaming.” With relatively glacial changes in airplay for 1983’s Top 100 hits over the last two years, we’ll instead compare those songs to on-demand streams for the same week — to see which songs
might have eluded normal radio decision-making, and also to what extent
radio is still setting the agenda for our musical memories.

I also chose 1983 because it is the year used in last year’s AT40 vs. the Lost Factor, but it’s not a year I’ve profiled individually before. For the first time, I’m showing Lost Factor ratings for an entire year’s Top 100 so that you can see the year-to-year movement, or relative lack thereof.

As always, the Lost Factor formula is determined by assigning points to
each song on the year-end chart and dividing those by BDSradio spins over
the last seven days for the U.S. and Canada. A song can have a low Lost
Factor because it remains heavily played, but some modestly spun songs that weren’t as big to begin with can also have a lower Lost Factor. While you
can make a case for recalculating Lost Factor against a longer period, our seven-day numbers have been surprisingly stable over the years.

Soft pop has always been vulnerable to the lost factor, and those are the
songs showing the greatest percentage loss of spins since 2022: Lionel Richie’s “Truly,” Laura Branigan’s “How Am I Supposed to Live Without You,”
and Dionne Warwick’s “Heartbreaker” are the top three, despite Warwick’s
improved currency. The Soft AC radio resurgence of the last five years has boosted some titles, but those not chosen are falling away faster.

There’s also been a falloff in some early-’80s “corporate rock” titles. The
’80s are still the center lane of Classic Hits, but there’s enough Guns ‘N’
Roses and Bon Jovi that some early-’80s rock is starting to fall away, such as “Twilight Zone” by Golden Earring, which has the greatest loss in number of spins. The No. 2 declining song is “Sexual Healing” by Marvin Gaye, a song that does indeed feel like it was more of an AC and Classic Hits
library staple two years ago (or five years ago) than today.

We’ve always used 1.0 as the dividing line between “lost” — songs receiving
disproportionately low airplay to their hit status at the time – and “not lost.” Six songs have crossed the line over 1.0 in the last two years:

    Asia, “Don’t Cry” (1.0)
    Greg Kihn Band, “Jeopardy” (1.0)
Adam Ant, “Goody Two Shoes” (1.1)
Patti Austin & James Ingram, “Baby Come to Me” (1.1)
Sergio Mendes, “Never Gonna Let You Go” (1.3)
    Styx, “Mr. Roboto” (1.3)

As for “Pass the Dutchie,” there is a noticeable change in its fortunes over the last two years, although maybe not as much as you’d expect from a song that streamed on the same level as some current hits last week. “Pass The Dutchie” was already under 1.0 because of low year-end points, but it gained only about 20 spins this week over our comparable week in 2020.

WEXP Relaunches As Americana Mud Radio

    Posted: 07 Jul 2022 06:14 AM PDT https://radioinsight.com/headlines/231805/wexp-relaunches-as-americana-mud-radio/

Radio Vermonts Woodchuck Radio LLCs 101.5 WEXP Brandon/Rutland has returned
to operations as Americana Mud Radio.

The Rutland Herald reports that the station is being operated by Chip
Morgan, who also runs Sun Signals AAA Farm Fresh Radio 102.9 WCLX Westport NY/Burlington VT. Morgan describes the new format as, ‘The roots of
American music. We’re describing it as a locally hand-curated mix of Americana, which will include rock, folk, blues and great old country
classics. It’s a real cool mix of different songs you wouldn’t think would be played together. It’s music designed for people who like music, not
people who only like hair metal bands or who only like classic rock.” The station launched its new brand on July 4 after stunting over the holiday weekend with patriotic music.

WEXP went silent in July 2021 as its license was transferred from Music
Guild International back to previous owner Woodchuck Radio to resolve a
lawsuit after Music Guild International defaulted on its purchase payments. Music Guild International acquired WEXP in November 2019 for $275,000. That programming station went online only after being unable to make payments
after they lost one of their primary donors to a cancer diagnosis.

The new Mud Radio has no web presence but is streaming here.
